Plain-language summary
This is a separate agreement between you (the Tournament Organiser) and SONIX SA. It applies on top of the SONIX Terms of Use.
Key points before you proceed:
• You must be at least 18 to organise tournaments on Arena.
• SONIX does NOT provide prize pools. Any prize you offer comes from you, and you are responsible for delivering it.
• You are fully responsible for the lawfulness of your tournament — including age limits, gambling laws, taxes, and participant disputes.
• Arena is currently free to use. We may add fees in the future with at least 60 days' notice.
By clicking "I accept" or by publishing a tournament, you agree to this Agreement.
Parties and acceptance
This Tournament Organiser Agreement (the "Agreement") is entered into between:
- SONIX SA ("SONIX", "we", "us", "our"), a company incorporated under the laws of Switzerland, registered under CH-550-1185270-2, with registered office at Rue de Genève 100, 1004 Lausanne, Switzerland (formerly known as TYXIT SA); and
- You (the "Organiser", "you", "your"), the individual or entity who has accepted this Agreement and applies to create, publish, or run a tournament on the SONIX Arena module.
This Agreement applies in addition to the SONIX Terms of Use, Privacy Policy, Community Guidelines, and any other policies referred to in those documents (together with this Agreement, the "SONIX Documents"). In the event of any conflict between this Agreement and the Terms of Use in respect of your activities as an Organiser, this Agreement prevails.
By clicking "I accept", by publishing a tournament, or by otherwise indicating acceptance through the Arena interface, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree, you must not publish or run a tournament on Arena.
1. Definitions
- "Arena". The SONIX tournament module, comprising the tools, interfaces, brackets, leaderboards, and other features made available by SONIX to enable tournaments.
- "Organiser". You, as the party who creates, publishes, or runs a Tournament on Arena.
- "Participant". A SONIX user who registers for or competes in a Tournament.
- "Tournament". A competitive event organised by the Organiser through Arena, including (without limitation) brackets, leagues, ladders, ad-hoc matches, qualifiers, and finals.
- "Tournament Rules". The set of rules published by the Organiser that govern a specific Tournament (including eligibility, format, prize structure, dispute resolution, and timing).
- "Prize". Anything of value offered by the Organiser to Participants in connection with a Tournament, including cash, merchandise, virtual items, vouchers, subscriptions, sponsored goods, and any combination thereof.
- "SONIX Marks". The SONIX, Arena, Pulsar, Orbital, and Supersonix names, logos, and other trademarks or trade dress owned by SONIX SA.
2. Eligibility to be a Tournament Organiser
Plain-language summary
You must be at least 18, accept this Agreement, and have a SONIX account in good standing.
To create or publish a Tournament on Arena, you must:
- be a natural person aged at least 18 years, or a legal entity duly incorporated and in good standing in its jurisdiction;
- hold a SONIX account in good standing, not currently subject to any suspension or restriction;
- have accepted this Agreement, the SONIX Terms of Use, and the Community Guidelines;
- provide accurate, current, and complete information about yourself and (if a legal entity) the natural person authorised to act on your behalf;
- comply with all applicable laws and regulations in the jurisdictions where the Tournament is offered, promoted, or played.
If you are organising a Tournament on behalf of a school, university, esports club, or other organisation, you confirm that you are duly authorised to act on its behalf and that the organisation has accepted, or will accept, any additional terms required by SONIX (including the Institutional Customer Agreement, where applicable).
3. Role of SONIX — platform only
Plain-language summary
SONIX provides the Arena platform. SONIX does NOT organise, sponsor, fund, run, or guarantee any Tournament you create.
SONIX provides Arena as a technical platform. SONIX:
- makes available the tools needed to create, configure, run, and report results of Tournaments;
- does not act as Organiser, sponsor, promoter, operator, or escrow agent for any Tournament;
- does not provide, fund, hold in escrow, contribute to, replace, or distribute any Prize;
- does not select winners or determine Tournament outcomes;
- does not verify the eligibility of Participants under applicable law;
- does not warrant any Tournament's lawfulness, fairness, or completion;
- does not act as a party to any contract between an Organiser and a Participant, sponsor, partner, or any other third party.
SONIX retains its standard rights to enforce the Terms of Use and Community Guidelines against any user, including by way of the content moderation processes described in Section 13 of the Terms of Use. Such enforcement does not constitute Tournament administration or dispute resolution.
4. Organiser obligations and responsibilities
Plain-language summary
You are responsible for everything about your Tournament: the rules, the prize, the taxes, the eligibility checks, the data, and any participant complaint.
4.1 Lawfulness
You are solely responsible for the lawful operation of each Tournament you organise. You represent, warrant, and agree to comply at all times with all applicable laws and regulations in each jurisdiction in which the Tournament is offered, promoted, or played, including (without limitation):
- competition, sweepstakes, contest, and prize laws;
- any laws governing games of skill, games of chance, or gambling — including licensing, registration, age-verification, and responsible-gaming requirements;
- anti-money-laundering (AML) and counter-terrorist-financing (CTF) laws;
- taxation, including the collection, withholding, and remittance of any taxes due on Prizes;
- consumer protection, advertising, and marketing laws;
- data protection laws, including the GDPR, the Swiss FADP, the UK GDPR, and applicable US state privacy laws.
4.2 Tournament Rules
Before publishing a Tournament, you must publish clear, complete, accurate, and non-misleading Tournament Rules that include, at a minimum:
- the Tournament title, format, and game(s) used;
- the eligibility criteria for Participants (including any age, residency, or other restrictions);
- the Prize structure, including a description of each Prize and its approximate value;
- the rules governing the conduct of the Tournament (start, finish, scoring, tie-breakers, disqualification);
- the dispute-resolution procedure within the Tournament;
- any taxes or fees applicable to Participants;
- the identity and contact details of the Organiser;
- any applicable age restrictions, including (where required by law) a minimum age of 18 for Tournaments involving real-money Prizes or that may be classified as gambling;
- any sponsor or third-party involvement.
The Tournament Rules must be lawful, fair, non-discriminatory, and consistent with these terms and the Community Guidelines. You may not change material terms of the Tournament Rules after Participants have entered, except as permitted by the Tournament Rules themselves or with the Participants' consent.
4.3 Eligibility verification
You are responsible for verifying the eligibility of each Participant under the Tournament Rules and applicable law. This includes verifying age, residency, sanctions status, and any other eligibility requirement. SONIX does not perform such verification on your behalf.
4.4 Minors
You acknowledge that SONIX users may be aged 13 or older (16 or older in the EEA and UK). If your Tournament is open to minors, you must:
- ensure that the Tournament Rules and Prize structure are appropriate for minors;
- not offer cash Prizes, alcohol, gambling-style Prizes, or other Prizes inappropriate for minors;
- comply with all laws regarding the participation of minors in contests, including those requiring parental consent;
- not collect personal information from minors beyond what is strictly necessary for the Tournament.
If your Tournament involves real-money Prizes or is otherwise restricted to adults, you must enforce a minimum age of 18 (or such higher age as the law requires) and verify Participants' ages.
4.5 Prizes — funded by Organiser
Any Prize offered in connection with a Tournament is funded, held, and delivered by you. SONIX has no obligation in relation to any Prize. You agree:
- to fund the full value of all Prizes before the Tournament starts;
- to deliver each Prize to the winning Participant within a reasonable period after the Tournament ends, and in any event within any period stated in the Tournament Rules or required by law;
- to bear all costs of Prize delivery (including shipping, customs duties, and conversion fees);
- to comply with all applicable tax-reporting and withholding obligations on Prizes (including issuing IRS Form 1099 or equivalent documentation where required);
- to indemnify any Participant for any tax or duty unlawfully passed on to them;
- not to substitute, reduce, or withdraw any Prize after Participants have entered, except as permitted by the Tournament Rules.
4.6 Participant data
You may collect personal data from Participants beyond what SONIX already collects (for example, contact details for Prize delivery, ID for verification, tax information). In respect of that additional data:
- you are the data controller under applicable data protection law (including the GDPR, the FADP, and applicable US state privacy laws);
- you must publish a clear privacy notice to Participants before collecting any data;
- you must have a lawful basis for each processing activity;
- you must implement appropriate technical and organisational security measures;
- you must honour data subject rights (access, correction, deletion, portability) as required by law;
- you must not use Participant data for unrelated purposes, including marketing, without separate lawful basis or consent.
SONIX is not your data processor and does not act on your behalf in relation to such additional data. If you wish to use SONIX's technical systems to transmit Participant data to yourself (for example, by exporting tournament data), you do so at your own risk and remain solely responsible for the lawfulness of the processing.
4.7 Communications with Participants
You may communicate with Participants through Arena's built-in channels in the context of the Tournament. You must not:
- use Arena messaging features to send unsolicited marketing, promotional content, or commercial messages unrelated to the Tournament;
- collect Participants' email addresses, phone numbers, or other off-platform contact details, except where (i) strictly necessary for the operation of the Tournament or for Prize delivery, and (ii) the Participant has been informed in advance through your privacy notice.
4.8 Dispute resolution
You are responsible for resolving disputes with or among Participants in relation to the Tournament, including disputes about results, conduct, eligibility, Prize delivery, or interpretation of the Tournament Rules. SONIX is not party to such disputes and has no obligation to mediate, adjudicate, or otherwise resolve them, although SONIX may take action under the Terms of Use and Community Guidelines where the underlying conduct breaches those documents.
You must publish, in the Tournament Rules or in a notice made available to Participants before entry, a clear dispute-resolution procedure including the Organiser's contact point and the timeframe within which complaints will be addressed.
5. Prohibited Tournaments
Plain-language summary
Some Tournaments are not allowed on Arena, even if otherwise lawful in your jurisdiction. Most importantly: no unlicensed gambling, and no content that breaches our Community Guidelines.
You may not use Arena to organise or run any Tournament that:
- constitutes a lottery, raffle, sweepstake, or game of chance for which you do not hold the required licence or registration in any jurisdiction in which the Tournament is offered or played;
- requires Participants to pay an entry fee where doing so makes the Tournament an unlawful gambling arrangement under applicable law;
- offers Prizes in the form of cryptocurrencies, NFTs, securities, derivative instruments, or other regulated financial products, without compliance with all applicable financial-services laws;
- is held in or directed to any country, territory, or person subject to comprehensive sanctions by Switzerland, the European Union, the United Kingdom, or the United States;
- uses games or content that breaches the Community Guidelines (including but not limited to games that promote hate, violence against protected groups, terrorism, child sexual abuse material, or non-consensual sexual content);
- uses games for which you do not hold the required licences from the rights holders to host competitive play;
- is fraudulent, fixed, manipulated, or otherwise misleading to Participants;
- breaches any other provision of this Agreement or any other SONIX Document.
SONIX may, at its sole discretion and without liability, remove, suspend, or refuse to host any Tournament that we reasonably believe breaches this Section 5 or any other provision of this Agreement.
6. Use of SONIX Marks
Plain-language summary
You can mention you are using Arena. You cannot use the SONIX logo or branding in a way that suggests SONIX endorses, sponsors, or runs your Tournament.
Subject to your compliance with this Agreement and any branding guidelines we publish, SONIX grants you a limited, non-exclusive, non-transferable, revocable licence to use the SONIX Marks solely to indicate that the Tournament is hosted on Arena (for example, by displaying "Hosted on SONIX Arena" or similar wording).
You must not:
- use the SONIX Marks in a manner that suggests SONIX organises, sponsors, endorses, or guarantees the Tournament;
- modify, distort, or recolour the SONIX Marks;
- use the SONIX Marks as the dominant element of any banner, poster, or promotional material;
- register or use any domain name, social-media handle, or trademark that incorporates the SONIX Marks or is confusingly similar.
All goodwill in the SONIX Marks arising from your use accrues to SONIX. SONIX may withdraw the licence in this Section 6 at any time on notice.
7. Fees
Plain-language summary
Arena is free to use today.
We may introduce fees in the future. If we do, we will give you at least 60 days' notice, and you can stop running tournaments before any fee takes effect.
As of the effective date of this Agreement, SONIX does not charge Organisers any fee, commission, or revenue share for the use of Arena.
SONIX reserves the right to introduce fees, commissions, or other charges in the future, on terms notified to you with at least sixty (60) days' advance written notice (by in-app notice and by email to the address on file). The notice will describe the fee, the activities to which it applies, and the date on which it will take effect.
You will have no obligation to continue using Arena following any such notice. If you do not wish to accept the new fee, you may stop publishing Tournaments before the fee takes effect; any Tournament you publish after the effective date will be subject to the fee.
8. Suspension, takedown, and account action
Plain-language summary
We can remove a Tournament, suspend your Organiser status, or terminate your account if you breach this Agreement or applicable law.
Where reasonable, we will give you notice and a chance to fix the problem first.
Without limiting any other right under the SONIX Documents, SONIX may, at its sole discretion:
- decline to publish a Tournament before it goes live;
- remove a published Tournament, in whole or in part, including individual brackets, matches, or content;
- suspend the Organiser's access to Arena;
- terminate the Organiser's status under this Agreement;
- apply the moderation, suspension, or termination measures described in the Terms of Use,
where SONIX reasonably believes that the Organiser or the Tournament breaches this Agreement, the Community Guidelines, the Terms of Use, or applicable law, or that action is necessary to protect Participants, other users, third parties, or SONIX.
Where reasonable and lawful, SONIX will give the Organiser advance notice and a reasonable opportunity to cure the breach. In cases involving serious harm (including risk to minors, ongoing illegality, financial fraud, or breach of court order), SONIX may act immediately and without prior notice.
Where SONIX removes a Tournament that has already started, SONIX will use reasonable efforts to notify Participants. SONIX has no liability for any consequence of such removal where the Tournament breached this Agreement or applicable law.
9. Disclaimers and limitation of liability
Plain-language summary
We provide Arena as-is. If something goes wrong and you suffer a loss, our liability to you is capped at €1,000.
We are not liable for losses caused by your own Tournament, your Participants, or your sponsors.
9.1 Disclaimers
ARENA IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, SONIX EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
SONIX DOES NOT WARRANT THAT ARENA WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT TOURNAMENT RESULTS WILL BE PRESERVED IN ALL CASES.
9.2 Liability cap
SUBJECT TO SECTION 9.3 BELOW, SONIX'S TOTAL AGGREGATE LIABILITY TO THE ORGANISER UNDER OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED ONE THOUSAND EUROS (€1,000).
SONIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING (WITHOUT LIMITATION) LOSS OF PROFITS, REVENUE, GOODWILL, OPPORTUNITY, OR DATA.
WITHOUT LIMITING THE ABOVE, SONIX HAS NO LIABILITY FOR:
- ANY CLAIM BY A PARTICIPANT OR THIRD PARTY ARISING FROM THE TOURNAMENT, INCLUDING DISPUTES ABOUT PRIZES, ELIGIBILITY, RESULTS, OR CONDUCT;
- THE ORGANISER'S FAILURE TO DELIVER ANY PRIZE OR TO COMPLY WITH ANY OBLIGATION TO PARTICIPANTS;
- THE LAWFULNESS OF THE TOURNAMENT IN ANY JURISDICTION;
- THE CONDUCT OF SPONSORS, PARTNERS, OR ANY OTHER THIRD PARTY ENGAGED BY THE ORGANISER;
- LOSS OF OR DAMAGE TO TOURNAMENT DATA WHERE NOT CAUSED BY SONIX'S GROSS NEGLIGENCE;
- ANY DECISION BY SONIX TO REMOVE A TOURNAMENT, SUSPEND THE ORGANISER, OR TERMINATE THIS AGREEMENT IN ACCORDANCE WITH SECTION 8.
9.3 Liability we cannot limit
Nothing in this Agreement limits or excludes SONIX's liability for:
- death or personal injury caused by SONIX's negligence;
- fraud or fraudulent misrepresentation;
- intentional or grossly negligent misconduct;
- any liability that cannot be limited or excluded under applicable mandatory law.
10. Indemnification
Plain-language summary
If your Tournament causes a third party to bring a claim against SONIX, you cover our reasonable defence costs and any damages.
You agree to indemnify, defend, and hold harmless SONIX SA, its affiliates, and their respective directors, officers, employees, agents, and shareholders from and against any and all claims, demands, actions, proceedings, liabilities, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- any Tournament you organise, publish, or run on Arena;
- any Prize you offer, fail to deliver, or deliver incorrectly;
- any dispute between you and a Participant, sponsor, partner, or any other third party;
- any breach by you of this Agreement, the Terms of Use, the Community Guidelines, or any applicable law;
- any claim that the Tournament or its content infringes any third party's rights, including intellectual property, privacy, or publicity rights;
- any tax, duty, or other governmental charge arising from the Tournament or any Prize;
- any data protection complaint, claim, or regulatory action arising from your processing of Participants' personal data.
SONIX will, where reasonable, give you prompt notice of any third-party claim subject to indemnification, allow you to control the defence (subject to SONIX's right to participate at its own cost and SONIX's prior approval of any settlement that admits liability or imposes obligations on SONIX), and reasonably cooperate in the defence.
11. Term and termination
Plain-language summary
Either of us can end this Agreement at any time. Running Tournaments stops; obligations like indemnification and Prize delivery to existing Participants survive.
11.1 Term
This Agreement begins on the date you accept it and continues until terminated in accordance with this Section 11.
11.2 Termination by you
You may terminate this Agreement at any time by ceasing to publish Tournaments and notifying SONIX through your account settings or by email to disputes@sonix.gg.
11.3 Termination by SONIX
SONIX may terminate this Agreement:
- for cause, immediately, where the Organiser materially breaches this Agreement, the Terms of Use, the Community Guidelines, or applicable law;
- for convenience, on 30 days' written notice;
- immediately, where required to do so by law or by a competent court or authority.
11.4 Effects of termination
Upon termination:
- the Organiser's right to create or publish Tournaments ends immediately;
- existing Tournaments may, at SONIX's discretion, be allowed to complete or be cancelled;
- the Organiser remains responsible for delivering Prizes for any Tournaments that have already started and have determined a winner;
- the licence to use the SONIX Marks under Section 6 terminates;
- Sections 4 (in respect of completed Tournaments), 9, 10, 12, 13, and 14 survive.
12. Governing law and jurisdiction
This Agreement is governed by the substantive laws of Switzerland, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Lausanne, Switzerland.
Where the Organiser is a consumer resident in a jurisdiction whose mandatory consumer protection law gives the Organiser the right to bring proceedings in their country of residence, nothing in this Section 12 affects that right; the Organiser may bring proceedings in Switzerland or in the courts of their country of residence, and SONIX may bring proceedings against the Organiser only in their country of residence.
Where the Organiser is acting on behalf of a US educational institution or other US Organisation under an Institutional Customer Agreement, that agreement's governing-law and jurisdiction terms prevail.
13. Changes to this Agreement
SONIX may update this Agreement from time to time. Where the change is material and adversely affects the Organiser, SONIX will provide at least thirty (30) days' advance notice by in-app notification and by email to the address on file. Where the change introduces or modifies a fee, the notice period in Section 7 (60 days) applies instead. Continued use of Arena after the change takes effect constitutes acceptance of the updated Agreement.
14. General provisions
14.1 Entire agreement
This Agreement, together with the Terms of Use, Privacy Policy, Cookies Policy, Community Guidelines, and any specific notices SONIX may issue, constitutes the entire agreement between the parties in respect of the subject matter, and supersedes any prior agreement on the same subject.
14.2 Independent contractors
Nothing in this Agreement creates a partnership, joint venture, agency, employment, or franchise relationship between the parties. The Organiser is an independent contractor with respect to its activities on Arena and acts solely on its own behalf.
14.3 Assignment
The Organiser may not assign or transfer this Agreement, in whole or in part, without SONIX's prior written consent. SONIX may assign this Agreement to any affiliate or successor in interest without consent.
14.4 Severability
If any provision of this Agreement is found unlawful, void, or unenforceable, that provision shall be deemed severed and the remaining provisions shall remain in full force and effect.
14.5 No waiver
Failure by SONIX to enforce any provision of this Agreement is not a waiver of that provision or of any future right of enforcement.
14.6 Notices
Notices to SONIX should be sent to disputes@sonix.gg or by post to SONIX SA, Rue de Genève 100, 1004 Lausanne, Switzerland. Notices to the Organiser may be sent to the email address on file with the SONIX account or through in-app notification.
14.7 Force majeure
Neither party is liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, governmental orders, strikes, telecommunications or internet failures, denial-of-service attacks, or pandemic measures.
